TouchStone Software Corporation thanks you for selecting one of our products for your computer. This is the TouchStone End User License Agreement which describes TouchStone’s license terms.

YOU WILL NOT HAVE THE ABILITY TO DOWNLOAD OR USE THE SOFTWARE UNTIL YOU HAVE READ AND ACCEPTED ALL OF THE TERMS SET FORTH IN THIS STANDARD LICENSE AGREEMENT.

SELECTING THE “I ACCEPT THE AGREEMENT” BUTTON CONFIRMS THAT YOU HAVE THE AUTHORITY TO AGREE TO AND BE BOUND BY THE TERMS OF THIS AGREEMENT. UPON ACCEPTING THE TERMS OF THIS AGREEMENT YOU WILL BE MADE A LICENSEE OF THE SOFTWARE.

IF YOU DO NOT ACCEPT THE TERMS OF THIS LICENSE, DO NOT SELECT THE “I ACCEPT THE AGREEMENT” BUTTON. THE SOFTWARE WILL NOT BE MADE AVAILABLE FOR INSTALLATION WITHOUT ACCEPTING THE AGREEMENT.

Grant of License:

TouchStone Software Corporation grants to you, and you accept, a license to use the programs and related materials ("Software") delivered with this License Agreement. This Software is licensed for use on one computer at a time. You may run this Software on as many machines as you like provided there is no possibility that it can be run on more than one machine at a time. The Software should never be installed on the hard drive of more than one computer. If the Software is installed on a network hard drive, access must be restricted to a single user. You agree that you will not transfer or sublicense these rights. If you use the Software on more than one computer at a time, you must license additional copies or request a multi-user license from TouchStone Software Corporation.

Your Software license as granted from TouchStone Software Corporation only authorizes you to use the version of the Software that you have purchased or installed. You are not given the authorization to use any other version of the Software. Each version of the Software is controlled by a separate agreement with TouchStone Software Corporation and the user.

License Fee:

You are not authorized to use the Software until any applicable license fee has been paid. In the use of a credit card for payment, the payment is only regarded as valid after the billing provider has granted payment authorization. In the use of PayPal© for payment, payments are only regarded as valid after the payment has been completed and claimed by TouchStone.

In the case of downloading a free trial version of the Software, the Software will be made available for use on one or more computers for an unrestricted time period (as subjected by any restrictions on efficiency and/or use integrated into the trial version).

Term:

This License Agreement is effective upon license fee payment or from the day you receive the Software and/or open the package. The Agreement will continue to be in effect until you return the original magnetic media and all copies of the Software to TouchStone. TouchStone shall have the right to terminate this license if you violate any of its provisions. TouchStone, or its licensors, own all right, title, and interest, including all worldwide copyrights in the Software, and all copies of the Software.

Your Agreement:

As the Licensee you hereby agree to the following requirements:

To not transfer the Software, in any form, to any party without the prior written consent of TouchStone. You further agree not to copy the Software, in whole, or in part, except for backup copies, unless TouchStone consents in writing. Each of these copies must have a label placed on the media showing the program name, copyright, and trademark designation in the same form as the original Software;

To use your best efforts and take all reasonable steps to protect the Software from unauthorized reproduction, publication, disclosure, or distribution; and you agree not to disassemble, decompile, reverse engineer, or transmit the Software in any form, or by any means. You understand that the unauthorized reproduction of the Software and/or transfer of any copy may be a crime, as well as subjecting you to monetary damages and attorney fees.

To ensure your workforce and all persons who have the authorized right to use the Software have had the terms of this Agreement made known to them.

To not take part in any action that may breach TouchStone Software’s intellectual property rights in the Software.

You recognize that you are not given ownership of the software by obtaining the License granted by Clause 1. You recognize that possessing the License does not assign or transfer any copyright, intellectual rights, or industrial property rights of the Software to you.

Disclaimer:

TOUCHSTONE MAKES NO WARRANTIES, EITHER EXPRESSED OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF FITNESS FOR A PARTICULAR PURPOSE OR MERCHANTABILITY. TOUCHSTONE SHALL NOT BE LIABLE FOR TORT, INDIRECT, SPECIAL OR CONSEQUENTIAL DAMAGES, SUCH AS LOSS OF PROFITS, OR LOSS OF GOODWILL FROM THE USE OR INABILITY TO USE THE SOFTWARE FOR ANY PURPOSE. SOME STATES MAY NOT ALLOW THIS DISCLAIMER, SO THIS LANGUAGE MAY NOT APPLY TO YOU. IN THAT CASE, OUR LIABILITY SHALL BE LIMITED TO THE REFUND OF THE TOUCHSTONE LIST PRICE.

Updates:

You acknowledge that TouchStone Software is not required to update and maintain software. TouchStone will do its best to notify you of subsequent updates released to the public or major corrections and the price for which they may be obtained, PROVIDED YOU HAVE SENT IN YOUR REGISTRATION. All updates and corrections that are provided to you shall become part of the Software and be governed by the terms of this license agreement.

Waiver:

Under this Agreement, the cessation or negligence by either party to implement the provisions of this Agreement will not be interpreted or reasoned to be a waiver of that party’s rights.

Change of Terms:

TouchStone reserves the right to amend Agreement terms at will by (a) providing written notification to you of such term changes; and/or by (b) displaying term changes or an amended Agreement to you during the installation or use of the Software.

Miscellaneous:

This is the only agreement between you and TouchStone and it cannot, and shall not, be modified by purchase orders, advertising or other representations of anyone, unless a written amendment has been signed by one of our company officers. This License Agreement shall be governed by Massachusetts law, and is deemed entered into at North Andover, Essex County, Massachusetts by both parties.
